Agreement to these terms

These Terms of Service ("Terms") form a binding agreement between you (and the entity you represent, together "Customer" or "you") and Humonex Intelligent Pvt. Ltd. ("Humonex", "we", or "us"). They govern your access to and use of the Humonex website, product, AI employees, APIs, and related services (collectively, the "Service").

By signing up, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

The service

Humonex deploys AI employees — domain-trained intelligent agents with defined roles — across finance, accounting, compliance, and operations functions. AI employees can connect to your existing tools (Tally, Zoho Books, QuickBooks, Busy, Excel/Google Sheets, email, and others), execute tasks, generate reports, and act on triggers you configure.

Critical actions include a human-in-the-loop approval layer. You remain in command; Humonex handles execution.

Accounts and eligibility

• You must be at least 18 years old and legally capable of entering into a contract.
• You must provide accurate account information and keep it current.
• You are responsible for safeguarding your credentials and for all activity under your account.
• You must notify us promptly at security@humonex.com of any suspected unauthorised access.

Acceptable use

You agree not to:

• Use the Service for anything unlawful, fraudulent, or intended to harm others.
• Attempt to reverse-engineer, decompile, or copy the Service, models, or underlying software.
• Bypass or interfere with security, rate limits, or human-in-the-loop controls.
• Upload data you do not have the right to share, or that contains malware.
• Use the Service to build a competing AI workforce product.
• Resell, sublicense, or lease access to the Service without our written consent.

Customer data and integrations

"Customer Data" means the data you or your integrations transmit to Humonex — including ledgers, invoices, GSTR filings, TDS records, financial statements, and any files or messages you upload.

• You retain ownership of your Customer Data.
• You grant Humonex a limited, non-exclusive licence to process Customer Data solely to operate and improve the Service for you.
• You are responsible for the accuracy of Customer Data and for having the right to share it.
• When you connect a third-party tool (Tally, Zoho, QuickBooks, Busy, Excel, email, etc.), you authorise Humonex to read from and, where you enable it, write to that tool on your behalf.

AI outputs and human oversight

AI employees produce outputs — reports, reconciliations, filings, suggestions, and actions — based on the data and instructions you provide. Outputs can contain errors. You are responsible for reviewing outputs and for approving any critical action before it takes effect in a downstream system.

Humonex is a tool that supports your team; it does not replace the professional judgment of qualified finance, tax, legal, audit, or compliance professionals. Nothing produced by the Service constitutes financial, legal, tax, or regulatory advice.

Fees and payment

• Access to paid plans is subject to the fees and billing cycle described in your order or plan page.
• Fees are exclusive of taxes; you are responsible for applicable GST or other taxes.
• Fees are non-refundable except where required by law or expressly stated in your order.
• Overdue amounts may attract interest and can lead to suspension of the Service.

Early access, beta, or pilot programmes may be offered on separate commercial terms communicated to you at sign-up.

Intellectual property

Humonex, including all software, AI models, personas, brand, and documentation, is owned by Humonex Intelligent Pvt. Ltd. and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms.

Feedback you share with us — suggestions, ideas, feature requests — may be used by Humonex without obligation to you.

Confidentiality

Each party will protect the other's confidential information with the same care it uses for its own confidential information (and at minimum, reasonable care), and will use it only to perform under these Terms.

Warranties and disclaimers

We will provide the Service with reasonable skill and care. Beyond that, and to the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind — express, implied, or statutory — including fitness for a particular purpose, merchantability, non-infringement, uninterrupted operation, or that outputs will be error-free.

Limitation of liability

To the maximum extent permitted by law:

• Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, goodwill, or data.
• Humonex's total aggregate liability arising from or related to the Service is limited to the fees actually paid by you to Humonex in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be excluded under applicable law.

Indemnity

You will defend and indemnify Humonex against third-party claims arising from your Customer Data, your use of the Service in violation of these Terms, or your infringement of applicable law or third-party rights.

Suspension and termination

• You may stop using the Service at any time. Paid plans can be cancelled per your order.
• We may suspend or terminate access for breach of these Terms, non-payment, security risk, or legal reasons.
• On termination, your right to use the Service ends. We will make Customer Data available for export for a reasonable period, after which it may be deleted.
• Sections that by their nature should survive termination (IP, confidentiality, liability, indemnity, governing law) will continue in effect.

Changes to the service and terms

We may improve, modify, or discontinue features of the Service over time. We may also update these Terms; material changes will be notified through the product or by email. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

Governing law and disputes

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts at Mumbai, India.

Miscellaneous

• Entire agreement. These Terms, together with your order and our Privacy Policy, form the entire agreement between you and Humonex regarding the Service.
• Assignment. You may not assign these Terms without our written consent. We may assign them as part of a corporate reorganisation, merger, or sale.
• Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
• No waiver. Failure to enforce any provision is not a waiver of that provision.
• Force majeure. Neither party is liable for delays caused by events outside its reasonable control.
